Exploring a New Legal Framework for Nouns DAO The Wyoming DUNA

The Nouns Foundation is exploring a Wyoming DUNA (Decentralized Unincorporated Nonprofit Association) as a new legal framework for Nouns DAO, and has not yet made a formal proposal to the DAO. The Foundation says a DUNA could offer member liability protection, reduced global tax uncertainty, U.S. jurisdictional legitimacy, and onchain voting as its governing principle. Adoption would require replacing the current fork mechanism with a refund mechanism, conducting KYC for grant recipients, running sanctions checks on auction bidders using Chainalysis, and filing and paying taxes if owed.
